TERMS & CONDITIONS
MichaelAngelos appreciates the opportunity to serve you, our Customer. Please carefully read the following Terms and Conditions. Please carefully read the following rental conditions which form a part of the Rental Agreement and which you, as Customer, agree to by virtue of placing your order with MichaelAngelos Events. Your use of this website constitutes your agreement to follow these rules and to be bound by them.
MichaelAngelos reserves the right, at its sole discretion, to update or modify these Terms and Conditions at any time without prior notice. It is your responsibility to check these Terms and Conditions each time before using this site. Your continued use of this website following any such change will mean that you accept and agree to the changes.
Rental Items
Customer hereby agrees to lease from MichaelAngelos Events the Rented Items identified on Exhibit 1. Customer agrees to pay the rental fees in the amounts and within the time frames set forth on Exhibit 1. Customer and MichaelAngelos Events agree that this Agreement shall apply to all Rented Items leased by Customer from MichaelAngelos Events and that MichaelAngelos may modify, supplement, and amend Exhibit 1 as needed to reflect the lease or return of Rented Items by the Customer under this Agreement.
Rental Period
All standard rentals include placement in one location/venue for a three-day period. This includes setup and teardown. Any items required for extended periods of time will include an additional weekly charge.
Service Details
Service charges are calculated for each individual client based on their needs. The service charge is an estimate and is subject to change if additional time or services are required during the setup and/ or teardown process. Additional service charges are billed at $75/ hour per person.
Any after-hours service fee will be applied for all setups and/ or teardowns taking places before 7am or after 9pm EST. After-hours fees are based on labor and time required. Sunday service fees also apply.
Maintenance and Alterations
Customer shall keep the Rented Items in good condition and working order and shall only use the Rented Items for its intended purpose. MichaelAngelos Events shall be responsible for the regular maintenance of the Rented Items. The Customer shall not change or alter the Rented Items without MichaelAngelos Events having prior written consent. Violation of this Section by the Customer shall result in the Customer paying additional charges as needed.
Liability
During the term of this Agreement, the Customer shall be solely responsible for any loss or damage to Rented Items. The Customer shall also be solely liable for all claims, including but not limited to workers' compensation or claims for personal injury or damage to property, arising, directly or indirectly, out of the use of the Rented Items.
Certificate of Insurance
As evidence of the insurance coverage required by this contract, the contractor shall furnish a Certificate of Insurance to MichaelAngelos Events if applicable. No contract shall be effected until the required certificates have been received and approved by MichaelAngelos Events. The certificate will specify and document all insurance-related provisions within this contract.
MichaelAngelos Events is not liable for any damages resulting of the sub vendor.
Damage or Loss
Customer will return the Equipment to MichaelAngelos Events in good condition. If the items are damaged while in Customer’s possession, Customer will be responsible for the cost of the repair, up to the current value of the item. If items are lost while in Customer’s possession, Customer will be subject to invoice of four times its current value.
The Customer hereby assumes and shall bear the entire risk of loss for theft, damage, destruction, or other injury to the Rented Items from any and every cause whatsoever. If security is needed to protect the items, it is the sole responsibility of the Customer to make the necessary arrangements.
Damage to any of MichaelAngelos Events décor while it is in the client’s possession (after delivery and setup are completed), and/or décor becomes unsafe or in disrepair for whatever reason, client will immediately discontinue use of that décor item and take necessary steps to prevent injuries to any person.
Any damage of MichaelAngelos décor as a result of weather issues, guests, or inappropriate use of product will result in an additional fee of four times the rental cost for replacement.
Weather
Should inclement weather become an issue, MichaelAngelos Events reserves the right to refuse or release rental items. Client assumes all risks and hardships involved with having an outdoor event. No refunds are issued on rental items unused due to inclement weather.
Client assumes all weather related risks involved in holding an outdoor tented event. MichaelAngelos Events will endeavor to minimize said risk, however, should the décor becomes unusable due to high wind, snow, rain, flooding, extreme cold or heat, or any other factor beyond MichaelAngelos Events’ control, Client shall be liable for payment in full of all charges.
MichaelAngelos will use their professional judgement when taking action in regard to changes, weather, tardiness, non-performance, etc. based on the situation, time limitations and/or Client’s wishes. MichaelAngelos is not responsible for any calamity know as an act of God, such as fire, flood, earthquake, or other natural disaster.
Design
It is understood that MichaelAngelos Events reserves the right to make any final adjustments to atmosphere designs as necessary. All on site atmosphere designs are finalized by MichaelAngelos Events.
Entire Agreement
This is the entire agreement between both parties. It replaces and supersedes any and all oral agreements between both parties, as well as any prior writings
Change/Cancellations
In the situation where the event is canceled more than [90] days prior to, a 50% refund will be made. If canceled [30] days before there will be no refund. No refunds can be made in the event of an act of God.
Term and Termination of Agreement
This Agreement shall continue in full force and effect until (a) the Rented Items is returned by Customer to MichaelAngelos Events and all amounts due hereunder have been paid, or (b) the Rented Items is purchased by Customer on terms mutually acceptable to Customer and MichaelAngelos Events, or (c) or the rented items are picked up by MichaelAngelos professional and checked in for damage which could take one week after the event. Upon termination of this Agreement, the Customer will surrender, at Customer's cost and expense, the Rented Items in good working order to MichaelAngelos Events.
Risk
Client agrees to assume full responsibility for all acts and/or omissions, negligence and/or willful, misconduct of guest or other persons at the event/ or assisting with the event in their handling of the décor and for any and all injuries that may result therefrom. Once MichaelAngelos crew members and technicians have completed an event setup, all items are to remain in placed areas. If client requests item transfers, a trained MichaelAngelos staff member is to assist. If rental inventory is moved without MichaelAngelos personnel on site, client assumes all responsibility for damages incurred to inventory during transfer.
Client assumes one hundred percent (100%) of the risk arising from the rental, use, operation, possession, transportation and handling of the décor during the terms of the rental period.
Deposits
A 50% deposit of total invoice to reserve the products is due prior to the event. Credit card will be on file for any incidentals. MichaelAngelos Events will remove credit card information within one week after the event inventory has been successfully checked in. Any and all payments towards your event are non-refundable.
Payment
1. Invoice must be paid in full prior to the rental date.
A valid MasterCard, VISA, Discover, or American Express (which is provided below) is required for the rental and other charges contemplated by this Agreement (including payment for the Rental Items in the event of loss or damage as provided in this Agreement). There is a 5% Transaction Fee when charging credit cards, to eliminate this fee the customer is welcomed to send a check to the headquarter address. Customer hereby authorizes MichaelAngelos Events by filling out the credit card authorization form to pay for the charges covered by this Agreement. MichaelAngelos Events will charge Customer's credit card a second rental fee in the event Rented Items are not received by NOON on the MONDAY following the event and immediately for all other charges contemplated by this Agreement. Customer agrees to promptly update the information below in the event if changes.
Default
If the Customer defaults in any performance required herein MichaelAngelos Events shall be entitled to pursue any other remedies available to it at law and in equity.
No Waiver
Waiver of breach or failure to strictly enforce the terms of this Agreement shall not preclude a party from asserting a subsequent or continuing breach or from otherwise requiring strict conformance with the terms of this Agreement.
Warranties
MichaelAngelos Events makes no representations or warranties of any nature, express or implied, including but not limited to any representations or warranties with respect to the suitability, durability, and finess for any particular purpose, infringement, merchantability or intended use. In no event shall MichaelAngelos Events be liable for special, incidental, or consequential, damages resulting from any failure of the rented items.
Entire Agreement
This Agreement, including the terms and conditions referenced below, constitutes the entire Agreement between the parties on the subject matter contained herein. This Agreement supersedes all prior oral or written agreements between the parties. This Agreement may be amended only as mutually agreed upon in writing.
